1. Services
Flow Border provides software tools and business services related to cross-border sourcing, quotations, inspection, fulfillment, packaging, logistics, tracking, order management and support. Features vary by plan, country, product, route, volume and written commercial terms.
A subscription fee covers the platform features and services stated at checkout. Products, samples, inventory, fulfillment, freight, customs duties, taxes, insurance, payment processing and order-specific expenses are quoted and charged separately unless a written proposal states otherwise.
2. Eligibility and accounts
You must be legally able to enter into a binding agreement and must provide current, complete and accurate account information. You are responsible for protecting account credentials and for activity performed through your account.
Business customers remain responsible for their stores, advertising, product descriptions, taxes, consumer obligations, intellectual-property compliance and the legality and safety of the products they sell.
3. Quotations and orders
A quotation applies to the product, quality, variation, quantity, destination, route, currency and validity period stated in that quotation. Availability, carrier charges, exchange rates, duties and timelines may change before approval or payment.
Estimated processing, dispatch, transit or delivery times are estimates unless a signed agreement states a guaranteed service level. Customs, carriers, recipients, weather, public authorities and events outside Flow Border control can affect an order.
4. Subscriptions, billing and cancellation
When you purchase a recurring plan, you authorize Flow Border and its payment providers to charge the payment method at the frequency and price displayed at checkout. A subscription renews automatically until canceled. Price changes apply to a future renewal after notice required by law.
You may cancel future renewal through available account controls or by emailing all@flowborder.com. Cancellation stops future subscription charges and ordinarily leaves access active until the end of the paid period.
5. Refund policy
Subscription fees are non-refundable after the applicable service period begins, except when required by law or expressly stated at checkout. We may correct duplicate charges, verified billing errors or a material failure to provide the purchased subscription service.
Subscription refunds are separate from product, sourcing, fulfillment, freight and order-specific charges. Amounts used for orders, redeemed credits, third-party costs and services already performed are non-refundable except when required by law or agreed in writing. 6. SMS terms
If you expressly opt in to sales and marketing SMS, Flow Border, operated by HEADSHOT AMERICA LLC, may send messages about your inquiry, store, quotations and its products or services. Message frequency varies. For an unanswered sales inquiry, Flow Border may send up to seven follow-up messages over fourteen days. Message and data rates may apply. Reply STOP to cancel or HELP for help. Consent to marketing SMS is not a condition of purchase.
You may opt out at any time by replying STOP. After an opt-out request, we may send one confirmation message and will stop marketing SMS unless you opt in again. Carrier delivery is not guaranteed. See the Privacy Policy for how mobile information and consent records are handled.
7. Acceptable use
You may use the services only for lawful business purposes and in accordance with these Terms.
- Do not use the services for unlawful, fraudulent, deceptive, abusive or infringing activity.
- Do not introduce malicious code, interfere with security, scrape protected data or attempt unauthorized access.
- Do not market, source or fulfill counterfeit, illegal, unsafe, sanctioned, infringing or restricted products.
- Do not use communications tools to send spam or contact people without the consent required by applicable law and carrier rules.
8. Third-party services
The services may connect to ecommerce platforms, payment providers, carriers, advertising services and other third parties. Their products, availability and terms are controlled by those providers. Flow Border is not responsible for a third-party service except to the extent required by law or expressly agreed in writing.
9. Intellectual property
Flow Border and its licensors own the platform, website, software, designs, trademarks and content, excluding customer content and third-party materials. We grant you a limited, revocable, non-transferable right to use the services for your internal business activities while your account is authorized.
10. Disclaimers
To the extent permitted by law, the services are provided as available. Flow Border does not guarantee uninterrupted access, acceptance of a product or supplier, a specific commercial result, or performance by a carrier, customs authority, marketplace or other third party. Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.
11. Limitation of liability
To the extent permitted by law, Headshot America LLC and its officers, employees and contractors will not be liable for indirect, incidental, special, exemplary or consequential damages, loss of profit, loss of data or business interruption arising from the services. Any aggregate liability will not exceed the amount paid to Flow Border for the service giving rise to the claim during the six months before the event. This limitation does not apply where prohibited by law.
12. Indemnity
You agree to defend and indemnify Headshot America LLC against third-party claims arising from your products, store, advertising, customer content, unlawful conduct or material breach of these Terms, except to the extent a claim results from Flow Border misconduct.
13. Suspension and termination
We may suspend or terminate access when needed to address nonpayment, security risk, unlawful activity, material breach or harm to the service or another person. Provisions that by their nature should survive termination remain effective, including payment, intellectual property, liability and dispute provisions.
14. Governing law
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Courts located in Delaware have jurisdiction over disputes, subject to any mandatory consumer law or jurisdiction that applies.
15. Changes to these Terms
We may update these Terms as the services or legal requirements change. Material changes affecting an active paid subscription will be communicated as required by law. Continued use after the effective date of updated Terms constitutes acceptance where permitted by law.
